2. Service Description
ConvoAI provides custom software deployment services for enterprise RAG-powered AI chatbot solutions. Our services include:
- One-time deployment of chatbot software to your AWS infrastructure
- Initial configuration and setup
- Training sessions as specified in your package
- Post-launch support for the period specified in your package
- Full source code delivery upon completion
Important: You are responsible for all AWS infrastructure costs. ConvoAI does not charge recurring licensing fees after deployment.
3. Intellectual Property
Source Code Ownership: Upon full payment, you receive complete ownership of the deployed source code and may modify, distribute, or commercialize it as you see fit.
ConvoAI Platform Rights: ConvoAI retains all rights to the base platform, methodologies, and any improvements made to our core technology. We may use similar implementations for other clients.
Third-Party Components: The software includes open-source components licensed under their respective licenses (MIT, Apache 2.0, etc.). You agree to comply with these licenses.
4. Warranties and Disclaimers
Limited Warranty: ConvoAI warrants that services will be performed in a professional manner consistent with industry standards. The software is provided "as-is" after the deployment period.
No Guarantee of Results: While we strive for excellence, ConvoAI does not guarantee specific business outcomes, ROI, or performance metrics. Results may vary based on implementation, use case, and data quality.
Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVOAI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVOAI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES.
CONVOAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
AWS Costs: You acknowledge that AWS infrastructure costs are separate and your responsibility. ConvoAI is not liable for AWS charges.
6. Client Responsibilities
- Provide timely access to necessary systems and information
- Maintain your AWS account and pay all AWS infrastructure costs
- Comply with all applicable laws and regulations
- Ensure you have rights to all data and documents used for training
- Maintain appropriate backups of your data
7. Payment Terms
Pricing: Prices are as quoted in your agreement. Prices are subject to change for future services but will not affect existing agreements.
Payment Schedule: Payment terms are specified in your service agreement. Typical terms are 50% upfront and 50% upon completion.
Late Payment: Late payments may incur interest charges and may delay or suspend services.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement.
9. Termination
Either party may terminate the agreement with written notice if the other party materially breaches these Terms and fails to cure within 30 days.
Upon termination, you will receive all work completed to date. Payments for completed work are non-refundable.
10. Governing Law
